The Board of Directors of Equinix, Inc. approved the appointment of Adaire Fox-Martin, a current member of the Board, as the company’s next President and Chief Executive Officer on March 7, 2024, as part of a planned succession strategy. The mutually agreed upon date, which is anticipated to occur later in our second fiscal quarter but not later than June 17, 2024, will mark the effective date of the appointment.
Charles Meyers, who declared his intention to step down as President and Chief Executive Officer with effect from the Transition Date, will be succeeded by Ms. Fox-Martin. In addition to his position on the board, Mr. Meyers will be employed by the company in the capacity of Executive Chairman, providing additional advising and transitional support.
Effective on the Transition Date, Peter Van Camp, the Company’s current Executive Chairman, will step down from both his role and his membership on the Board as part of this succession process. As the Board’s Special Advisor, he will still offer advising and consulting services. In order to maintain continuity in the Executive Chairman role until the Transition Date, when Mr. Meyers will take over, Mr. Van Camp will run for reelection to the Board in 2024.
Since 2020, Ms. Fox-Martin, 59, has been a member of the Board. She also held the positions of Head of Google Ireland and President of Google Cloud Go-to-Market before being named Chief Executive Officer and President of the Company. Previous to that, Ms. Fox-Martin held a number of positions at SAP, including member of the Executive Board, and numerous managerial positions at Oracle Corporation. She also served as the EMEA Cloud President of Google Cloud International. Ms. Fox-Martin graduated from Dublin’s Trinity College with a Bachelor of Arts.
Ms. Fox-Martin and the Company have not engaged in any transactions that would require reporting under Regulation S-K’s Item 404(a).
