With this appointment, the Board’s size rises to thirteen directors, and its proportion of independent directors rises from ten to eleven.
From November 2017 until June 2023, Ms. Johns held the positions of Chief Executive Officer and Managing Director at Incitec Pivot Ltd., an Australian-listed global company that manufactures and distributes chemicals, civil explosives, and fertilizers. Before coming to work for Incitec, Ms. Johns spent thirty years with BP plc holding executive leadership positions in the United States, the United Kingdom/Europe, Asia/China, and so on. She was Head of Safety & Operational Risk, Downstream from 2011 to 2015; Head of BP Group Operating Management System Excellence from 2013 to 2015; President, Asian Olefins and Derivatives from 2008 to 2010; President, BP North America Natural Gas Liquids from 2004 to 2007; Technical Vice President of Health, Safety & Environmental, Manufacturing Excellence, Engineering and Projects, Global Petrochemicals from 2002 until 2003; and Refinery Manager and Business Unit Leader, Toledo Refinery, from 1999 until 2001.
In addition to her substantial corporate and international business expertise across a wide range of industries, Ms. Johns brings to the Board her executive management and board experience. Her vast knowledge of the oil and gas sector and refining adds perspective and pertinent technical know-how.
As a successful businesswoman, Jeanne offers to the HF Sinclair Board a wealth of executive and industry experience and knowledge. The board’s chair, Franklin Myers, expressed excitement about her upcoming contributions to HF Sinclair and the board.
Furthermore, in accordance with the provisions of the investors Agreement, dated as of August 2, 2021, by and among HF Sinclair, REH Company, and certain investors of REH Company, Norman J. Szydlowski made his offer to resign as a member of the Board on February 13, 2024. With effect from HF Sinclair’s 2024 Annual Meeting of Stockholders, Mr. Szydlowski’s offer of resignation was accepted by the Board on February 14, 2024.
