Eagle Pharmaceuticals Seeks Replacement for Departing CFO Brian Cahill

Brian Cahill left his role as Eagle Pharmaceuticals, Inc.’s chief financial officer on March 8, 2024, with immediate effect. The Company’s Board of Directors has started looking for Mr. Cahill’s replacement as Chief Financial Officer.

Following Mr. Cahill’s separation, Steven Ratoff, a board member and chair of the board’s audit committee, was named the company’s interim chief financial officer, principal financial officer, and principal accounting officer. This appointment took effect right away and would remain in place until a new chief financial officer starts working for the company, the Board determines another date, or Steven Ratoff resigns earlier. Mr. Ratoff is still on the Board of Directors.

In conjunction with his appointment as the Interim Chief Financial Officer, Mr. Ratoff resigned from the Board’s Compensation and Audit Committees. The members of the Board’s Audit Committee are Robert Glenning (Chair), Jennifer Simpson, and Richard Edlin; the members of the Compensation Committee are Dr. Simpson (Chair), Mr. Edlin, and Luciana Borio; and the members of the Nominating and Corporate Governance Committee are Mr. Edlin (Chair), Mr. Glenning, Dr. Simpson, and Dr. Borio. This is after Mr. Ratoff steps down from these committees. Furthermore, Dr. Simpson was designated by the Board to function as the Lead Independent Director.

Since March 2007, Mr. Ratoff has been a member of the Board. Since July 2018, Mr. Ratoff has held the position of Chief Executive Officer at cloud-based software company CM Systems LLC. In the past, Mr. Ratoff has held positions as Chief Executive Officer of Novadel Pharma, Inc., a specialty pharmaceutical company, from 2007 to 2012; Venture Partner for ProQuest Investments from 2005 to 2013; and Chief Executive Officer of CIMA Labs, Inc., a specialty pharmaceutical company that Cephalon acquired in 2004. Furthermore, from 1995 to 2001, Mr. Ratoff was the Brown-Forman Company’s chief financial officer. Mr. Ratoff graduated with honors from the University of Michigan’s M.B.A. program and Boston University’s B.S. in business administration.
