In a news statement dated Citizens Financial Group, Inc. stated that Tracy A. Atkinson had been named to the company’s board of directors by the board, with effect from March 1, 2024.

Prior to her retirement in 2020, Ms. Atkinson most recently held the positions of Executive Vice President and Chief Administrative Officer at State Street Corporation. With Ms. Atkinson’s appointment, the Board will momentarily have 14 directors. She will be a member of the Board’s Audit Committee. Ms. Atkinson meets the requirements for serving on the Board’s Audit Committee and is regarded as an independent director by the New York Stock Exchange’s corporate governance listing guidelines. As per the Non-Employee Directors Compensation Policy of the Company, Ms. Atkinson will be paid for her services. The reason Ms. Atkinson was appointed to the Board was not due to any agreements or understandings with any other individual. The Company and Ms. Atkinson are not involved in any transactions.

The company also disclosed that Shivan Subramaniam, whose current term ends at the annual meeting of shareholders in April 2024, will step down from the Board because he has reached the mandatory retirement age under the company’s corporate governance guidelines. Kelly III, who has been a member of the board since 2019, will take over as the company’s lead independent director, subject to his reelection. Having joined the board in 2005, Mr. Subramaniam chairs the corporate governance and nomination committee and is a member of the compensation and human resources committee. Currently, Mr. Kelly is a member of the Nomination and Corporate Governance Committee and chairs the Compensation and Human Resources Committee.
