Stacy L. Gilbert was named Chief Accounting Officer of KeyCorp by the Board of Directors on March 14, 2024, with effect from March 15, 2024. Ms. Gilbert will act as the company’s chief accounting officer in this capacity.
Ms. Gilbert, 52, was employed by the company since August 2023 as Corporate Controller before being named Chief Accounting Officer. Prior to this, she worked as Senior Director of External Reporting and Accounting Policy and Assistant Corporate Controller. She began working for the company in 2002 and held a number of accounting positions before departing in 2008 to join FirstMerit Corporation. In 2016, she returned to the Company.
Ms. Gilbert was appointed Chief Accounting Officer without any agreement or understanding with any individual. Ms. Gilbert is not a party to any transaction required to be disclosed under Item 404(a) of Regulation S-K, and she has no family ties to any of the company’s directors or executive officers.
With respect to the Company’s programs and policies, Ms. Gilbert will remain eligible for benefits and discretionary incentive pay in connection with her appointment. At least half of her total incentive compensation will be provided as long-term incentive compensation. In addition, she will receive a restricted range of executive benefits, such as an annual executive physical and tax and financial planning, that are offered to the company’s other senior officers. Additionally, Ms. Gilbert will sign the company’s standard Change of Control Agreement (Tier II), which is available as Exhibit 10.9 in the company’s Form 10-K Annual Report for the year that ended on December 31, 2017.
